GistUp

Terms of Use

Last updated 6 November 2026

Draft for legal review. This text was prepared for Macver Technology Ltd management and its lawyer. It is not yet in force.

1. Agreement

These terms are between you and Macver Technology Ltd ([RC number]), [registered office address, Nigeria] ("Macvertech", "we", "us"). By creating a GistUp account you agree to them and to our Privacy Policy.

2. Who can use GistUp

  • You must be 18 or over.
  • You must use your own phone number, in a country where GistUp is open for registration.
  • You may have one account per phone number. You are responsible for what happens on your account. Keep your SMS code and backup key private.

3. Acceptable use

You must not use GistUp to:

  • share or request any sexual content involving children, or groom or exploit a child;
  • defraud people, including asking for codes, BVN, NIN, PINs, card details or money under false pretences;
  • threaten, harass, bully or stalk anyone, or encourage violence or self-harm;
  • share intimate images of someone without their consent;
  • pretend to be another person, a business, a government body, or GistUp or Macvertech staff;
  • send spam, bulk or automated messages, or messages people did not ask for in large numbers;
  • break the law, including laws on terrorism, human trafficking, drugs, weapons and cybercrime;
  • try to break, overload or reverse-engineer the service, or access other people's accounts.

4. What we may do

To protect users, we may limit, suspend or close accounts that break these terms, based on reports, what users choose to share with us, and data we hold such as account and delivery records. We cannot read message content. Where the law requires, we report illegal content, including child sexual abuse material, to the authorities.

5. Your content

What you send belongs to you. Because it is end-to-end encrypted, we only handle it in sealed form to deliver it. If you include messages in a report, you allow us to use them to review that report.

6. Backups

Backups are sealed with your 64-digit key. We do not have the key and cannot recover it. If you lose it, your backup cannot be opened.

7. The service

GistUp is free. We work hard to keep it running, but we provide it "as is" and cannot promise it will always be available or error-free. We may change or end features, and will give notice of major changes in the app.

8. Liability

To the extent Nigerian law allows, Macvertech is not liable for indirect or consequential loss, or for loss caused by other users, such as fraud by someone you chose to send money to. Nothing in these terms limits liability that cannot be limited by law.

9. Ending your account

You can delete your account at any time in the app, under Settings → Delete my account. See what is deleted.

10. Law and disputes

These terms are governed by the laws of the Federal Republic of Nigeria. We will try to resolve any dispute with you directly first; contact [support email]. If we cannot, the courts of Nigeria will decide.

11. Changes

We may update these terms. We will post changes here and tell you in the app before an important change takes effect.
